CORPORATE GOVERNANCE Executive Sessions of Non-Management Directors The Board has executive sessions at each regularly scheduled Board meeting during the year, for which our management director, Ms. Salka, is not present. Communications with the Board of Directors The Board has established the following procedure for shareholders and other interested parties to communicate with members of the Board, the presiding director, or the Independent directors as a group. All such communications should be addressed to the attention of our Corporate Secretary at our offices located at 12400 High Bluff Drive, Suite 100, San Diego, California 92130. The Corporate Secretary collects and maintains a log of each such communication and forwards any that the Corporate Secretary believes requires immediate attention to the appropriate members of the Board, who then determine how such communication should be addressed.
