The employment agreements set forth the duties of each NEO’s position. Each employment agreement sets forth the NEO’s base salary, annual short-term incentive and long-term incentive target opportunities, and eligibility for various other benefits such as health and welfare benefits and/or retirement opportunities. With respect to the equity incentive awards that the Named Executive Officers are entitled to receive under the employment agreements, the terms and conditions of such equity awards are determined by the Compensation Committee on an individual basis and governed by individual award agreements.
