VCRA Competitive Market Assessment of Executive Compensation Program The Compensation Committee engaged FW Cook to conduct a competitive market assessment of our executive officer compensation program, which was presented to the Compensation Committee in January 2017. The competitive market assessment included an analysis of pay data, including base salary, short-term incentives, long-term incentives and total compensation values, for the Company’s executives compared to executives in similar positions with the peer group companies listed above, as well as compensation survey data for companies of similar size and industry background. The Compensation Committee determined the appropriate levels of compensation for each executive after considering the competitive market assessment and a number of other factors, including an assessment of each individual’s performance, experience and expertise related to his or her responsibilities, the Company’s operating and financial results, and recommendations and advice from FW Cook.
