3 How does the board of directors recommend I vote on the Proposals? The board of directors recommends that you vote: • FOR each of the Class I director nominees; • FOR the advisory vote to approve the compensation of our named executive officers; • “Every year” as the preferred frequency of future advisory votes on the compensation of our named executive officers; and • FOR ratification of Ernst & Young LLP as our independent registered public accounting firm. How do I vote? • For Proposal 1, you may either vote “For,” or “Withhold” your vote from, any of the nominees to the board of directors. • For Proposal 2, you may either vote “For” or “Against” the proposal, or “Abstain” from voting. • For Proposal 3, you may vote for either “every year,” “every two years” or “every three years,” or you may “Abstain” from voting, and the option that receives the highest number of votes cast by stockholders will be considered to be the preferred frequency of future advisory votes on the compensation of our named executive officers. • For Proposal 4, you may either vote “For” or “Against” the proposal, or “Abstain” from voting. Please note that by casting your vote by proxy you are authorizing the individuals listed on the proxy to vote your shares in accordance with your instructions and in their discretion with respect to any other matter that properly comes before the Annual Meeting or any adjournments or postponements thereof. The procedures for voting, depending on whether you are a stockholder of record or a beneficial owner, are as follows: Stockholder of Record: Shares Registered in Your Name If you are a stockholder of record, you may vote in any of the following manners: • To vote in person, come to the Annual Meeting and we will give you a ballot when you arrive. • To vote over the Internet prior to the Annual Meeting, follow the instructions provided on the Notice of Internet Availability of Proxy Materials or on the proxy card that you request and receive by mail or e-mail. We provide Internet proxy voting to allow you to vote your shares online, with procedures designed to ensure the authenticity and correctness of your proxy vote instructions. However, please be aware that you must bear any costs associated with your Internet access, such as usage charges from Internet access providers and telephone companies. • To vote by telephone, call the toll free number found on the proxy card you request and receive by mail or e-mail or the toll free number that you can find on the website referred to on the Notice of Internet Availability of Proxy Materials. • To vote by mail, complete, sign and date the proxy card you request and receive by mail or e-mail, and return it promptly. As long as your signed proxy card is received before the Annual Meeting, we will vote your shares as you direct. Whether or not you plan to attend the Annual Meeting, we urge you to vote by proxy by mail, Internet or telephone to ensure your vote is counted. The Internet and telephone voting facilities for eligible stockholders of record will close at 11:59 p.m. Eastern Time on June 4, 2018. Even if you have submitted your vote before the Annual Meeting, you may still attend the Annual Meeting and vote in person. In such case, your previously submitted proxy will be disregarded.
